There's all sorts of : advertisements potentially generating revenue for Microsoft : competitors...actually, just one advertisement for Cutenews...but still... I don't have any solid answers to your questions - but I would suggest that it might be as simple as "Halo Zero hit the scene with almost no warning, which meant it was off the radar until it was already out of the bag... but more importantly, it came out before MS Legal had fully decided to move." It's relatively clear to me that the decision to shut down these projects was implemented very recently; I don't think anyone involved is silly enough to engender EXTRA ill will by allowing more work to be done on something they knew they were definitely going to stop. Had the decision to step in been made 6 months ago, Halogen would have gotten this call 6 months ago - not now. In retrospect, the success of Halo Zero could very well be one of the PRECIPITATING FACTORS that spurred this decision, in fact; had nothing been created to bring this much attention to fan-made games, who's to say Microsoft might never have stepped in?
